Company Overview

Canada Lithium is a Canadian-based "Green Energy" resource development company trading under the symbol CLQ on the Toronto Stock Exchange ("TSX") since June 24, 2010. Canada Lithium is engaged in the exploration and development of mineral properties with lithium deposits and is currently focused on its wholly-owned Quebec Lithium project. On May 7, 2008, the Company acquired a 100% undivided right, title and interest in the Quebec Lithium property, one of the largest known lithium spodumene pegmatite deposits in Canada, located near Val d'Or, Quebec. The property was previously operated as Quebec Lithium during the period 1955 to 1965, producing spodumene and lithium carbonate products for world markets. In the third quarter of 2010, the Company completed the pilot plant floatation, roasting and hydrometallurgical facility producing a battery-grade 99.9% lithium carbonate from the Quebec Lithium deposit, an increase over the initial metallurgical test-work which produced battery-grade 99.6% lithium carbonate. A Preliminary Feasibility Technical Report ("PFS") for development of the project was completed in April 2010, including capital and operating cost estimates. The Company intends to complete a Bankable Feasibility Study by the first quarter of 2011, which would allow it to proceed to the construction phase in 2011. On October 28, 2010, the Company announced that total measured and indicated mineral resources have increased by approximately 48% to 46.7 million tonnes grading 1.19% lithium oxide (Li2O) (at a 0.8% Li2O cut-off). The total inferred mineral resource has also been increased to an approximate 57.6 million tonnes grading 1.18% Li2O, approximately 48% higher than the previous estimate announced on March 4, 2010. Current preliminary scheduling indicates that the Quebec Lithium mine has the potential to produce approximately 19,300 tonnes per annum of battery-grade lithium carbonate to supply the anticipated growth of the electric vehicle battery market. As at the date of this MD&A, the Company has not earned any production revenue. In the first quarter of 2010, the Company completed a National Instrument 43-101 Standards of Disclosure for Mineral Projects ("NI 43- 101") resource statement for the Quebec Lithium deposit. On August 10, 2010, the Company announced the sale of its Tully Township Nickel Offsets property for consideration of $200,000 cash, 600,000 common shares of SGX Resources Inc. ("SGX") and 150,000 common shares of San Gold Corporation ("San Gold"). The transaction closed during the fourth quarter of 2010.
